1. Agreement

These Terms & Conditions (“Terms”) govern your use of the Stratagem Systems website, our SMS/text messaging program, and, where applicable, our services. By using this site, opting in to texts, or engaging us for work, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the site, SMS program, or our services.

2. Age restriction (18+)

You must be at least 18 years of age to use this website, opt in to our SMS/text messaging program, or purchase our services. By using the site or providing your information, you represent that you are 18 or older. We do not knowingly collect information from or market to anyone under 18.

3. SMS program & messaging use cases

Stratagem Systems operates a text messaging (SMS/MMS) program. If you provide your mobile number and consent, you agree to receive recurring automated and/or manual text messages from us. Messaging use cases may include:

  • Responses to inquiries and sales/discovery follow-ups
  • Appointment scheduling, reminders, and confirmations
  • Missed-call text back and customer service updates
  • Service, project, or account-related notices
  • Marketing or promotional messages (only where you have consented as disclosed at opt-in)

Message frequency varies based on your interactions with us. Consent to receive texts is not a condition of purchasing goods or services.

Message and data rates may apply. Your mobile carrier may charge standard text messaging and data rates for messages you send or receive. Check your plan with your carrier for details.

How to opt out: Text STOP to any message from us to unsubscribe from SMS. After you text STOP, you will receive a confirmation and we will stop sending texts to that number (except any legally required notices). You may opt back in later by following a new consent process.

Carrier liability disclaimer: Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission from your wireless carrier network and is not guaranteed.

4. Website use

You may use this website for lawful purposes only. You agree not to misuse the site, attempt unauthorized access, interfere with its operation, or use it to send spam or harmful content. We may change, suspend, or discontinue any part of the site at any time.

5. Services

We provide web design, hosting, local SEO, CRM setup, automation, AI tools, marketing systems, and related consulting. Specific deliverables, timelines, fees, and scope are defined in a proposal, statement of work, invoice, or written agreement between you and Stratagem Systems. If there is a conflict between these Terms and a signed agreement, the signed agreement controls for that engagement.

6. Payment

Fees are due as stated on your proposal or invoice. Late or failed payments may delay or pause work. Unless otherwise agreed in writing, deposits and completed work are non-refundable. Recurring services (such as hosting or retainers) renew until canceled according to the terms of that plan.

7. Client responsibilities

You agree to provide timely access, content, approvals, and accurate information needed for us to perform services. Delays on your side may extend timelines. You are responsible for the legality of content you supply and for complying with applicable advertising, privacy, and industry rules in your business.

8. Intellectual property

Unless otherwise agreed in writing: (a) you retain ownership of materials you provide to us; (b) upon full payment, you receive ownership or a license to final deliverables as specified in your agreement; and (c) we retain rights to our pre-existing tools, frameworks, processes, and generic know-how. We may showcase anonymized or approved work in our portfolio unless you request otherwise in writing.

9. Third-party platforms

Some work involves third-party products (hosting providers, CRM platforms, Google, Meta, SMS carriers, plugins, etc.). Those services are subject to their own terms. We are not responsible for outages, policy changes, account suspensions, or fees charged by third parties.

10. No guarantees

We work in good faith to deliver quality results. We do not guarantee specific rankings, lead volume, ad performance, or revenue outcomes. Search engines, ads platforms, and markets change; results vary by industry, competition, budget, and client follow-through.

11. Disclaimer of warranties

The website, SMS program, and services are provided “as is” and “as available” to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, except where a written agreement states otherwise.

12. Limitation of liability

To the fullest extent permitted by law, Stratagem Systems and its owners will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business opportunities. Our total liability for any claim arising from the site, SMS program, or services will not exceed the fees you paid us for the specific services giving rise to the claim in the three (3) months before the claim.

13. Indemnification

You agree to indemnify and hold harmless Stratagem Systems from claims arising out of your content, your misuse of the site, SMS program, or services, or your violation of these Terms or applicable law.

14. Termination

We may suspend or terminate access to the site, SMS program, or services for breach of these Terms or non-payment. You may cancel ongoing services as allowed in your service agreement, and you may stop SMS anytime by texting STOP. Provisions that by nature should survive (payment, IP, liability, indemnity) will survive termination.

15. Governing law

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law rules. Disputes will be resolved in state or federal courts located in Maryland, unless both parties agree otherwise in writing.

16. Privacy Policy

Our collection and use of personal information (name, email, and phone number) is described in our Privacy Policy, including SMS opt-in rules and the statement that we do not share SMS opt-in or mobile information with third parties or affiliates for their marketing.

17. Changes

We may update these Terms from time to time. The “Last updated” date will change when we do. Continued use of the site or SMS program after changes constitutes acceptance of the updated Terms.
